The corporate governance strategy is based on four fundamental pillars: Business Principles, Triple Bottom Line Strategy, Risk Management, and its policies and procedures. The model is continuously being implemented and improved.

Seeking to ensure high ethical, governance and transparency standards, Masisa has a series of policies and procedures that provide specific guidelines on the expected behavior of all those who are part of the company in the different countries where it operates.
This framework complements and seeks to go beyond legislation and is aligned with international best practices.

The company has a formal process for handling possible conflicts of interest between Masisa and its employees or directors, channeling them to the Legal and Corporate Affairs Management, ensuring their appropriate treatment according to internal standards and current legislation.
Masisa S.A. is a Chilean open stock corporation that makes public offerings of its securities, registered in the Securities Registry under No. 0825 since March 24, 2004 and subject to the supervision of the Financial Market Commission (CMF) and to the current Corporations Law No. 18,046 of October 22, 1981 and its respective subsequent amendments.
Masisa has a Corporate Governance Code, prepared taking into account the recommendations of the "G20 and OECD Principles of Corporate Governance". Its objective is to create value in a sustainable manner in all operations and align business principles. This document is structured by pointing out, among other issues, the functioning of the board of directors and its committees, the regulation regarding meetings, appointments, joint operation, budget, time dedication and diversity, among others. It also addresses the relationship between shareholders and stakeholders and management. It also includes guidelines on the governance strategy, the triple bottom line, various policies and procedures, risk management and internal control, and the crime prevention system.
Crime Prevention Model
Masisa applies a crime prevention model in accordance with Law 20.393, with a governance framework in Mexico, Venezuela, Ecuador, Peru and Colombia. Recently updated by law 21.595, the internal audit manager leads prevention and reports to the board of directors.
Ethics complaints and consultation channel
As part of the governance environment, Masisa has a communication channel for direct or anonymous ethical complaints or inquiries regarding compliance with its Business Principles, Standards of Ethical Conduct, Conflicts of Interest and any issue related to possible regulatory non-compliance with its internal control environment, its financial statements and situations or events that require the attention of management and/or the Board of Directors.
For all ethical complaints or inquiries received, a timely, independent, confidential and non-retaliatory analysis is ensured for their issuers, through a process structured and monitored by the Risk and Audit Committee of Masisa's Board of Directors and independent of the company's management, ensuring adequate treatment of the identification of the facts, due process and implementation of internal improvements in those situations that warrant it.
